To keep these Terms clear, the following words have specific meanings wherever they appear.

• "Account" means the personal profile you create to access Mindley.
• "User Content" means any files, documents, PDFs, slides, images, audio, text, or links you upload or submit to the Service.
• "Generated Content" means the notes, summaries, flashcards, quizzes, mind maps, and other study material the Service produces from your User Content.
• "Subscription" means a paid plan that unlocks premium features and the complete study workspace.
• "AI Providers" means the third-party model providers we use to process content and generate study material.

You must be at least 13 years old to use Mindley. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

When registering, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity that occurs under your Account, and you agree to accept responsibility for the actions of anyone who uses your credentials with or without your permission.

Mindley is an AI-powered learning platform that transforms educational material into structured study resources. You may upload documents or provide links, and the Service will generate notes, flashcards, quizzes, mind maps, summaries, and related revision tools designed to help you learn faster.

The Service is intended as a study aid and productivity tool. It is not a substitute for professional, academic, medical, legal, or financial advice, and it does not guarantee any particular academic outcome, grade, or result. We continuously improve and update features, and we may add, modify, or remove functionality at our discretion.

You are responsible for maintaining the confidentiality of your login credentials and for restricting access to your devices. You agree to notify us immediately at our support email if you suspect any unauthorized use of your Account or any other breach of security.

We are not liable for any loss or damage arising from your failure to safeguard your credentials. We may suspend access if we reasonably believe your Account security has been compromised.

You agree to use Mindley lawfully and respectfully. The following activities are strictly prohibited and may result in suspension or termination.

• Uploading content you do not own or have no right to use, or that infringes any copyright, trademark, or other intellectual property right.
• Uploading unlawful, hateful, harassing, defamatory, obscene, or otherwise objectionable material.
• Attempting to reverse-engineer, decompile, scrape, or extract the underlying models, prompts, or source code of the Service.
• Using automated systems, bots, or scripts to overload, disrupt, or gain unauthorized access to the Service.
• Reselling, sublicensing, or commercially exploiting the Service or Generated Content without our written permission.
• Using the Service to cheat in a way that violates your institution’s academic integrity policies.

You retain full ownership of your User Content. We do not claim ownership of anything you upload. To operate the Service, however, you grant Mindley a limited, non-exclusive, worldwide, royalty-free licence to store, process, reproduce, and transmit your User Content solely for the purpose of providing and improving the Service to you.

You represent and warrant that you have all necessary rights to your User Content and that its processing by Mindley and our AI Providers will not violate any law or third-party right. You may delete your User Content at any time, which revokes this licence except to the extent processing has already occurred or is required by law.

The Service, including its software, design, branding, logos, text, and all associated intellectual property, is owned by Mindley or its licensors and is protected by applicable laws. Except for the rights expressly granted to you, nothing in these Terms transfers any ownership to you.

Generated Content produced from your own material is provided for your personal study use. You may use and share it for non-commercial educational purposes, subject to the rights of any original rights-holders in the source material.

Mindley uses artificial intelligence to generate study material. While we strive for high quality, AI systems can produce output that is incomplete, outdated, or factually incorrect ("hallucinations"). Generated Content is provided on an "as is" basis and should always be verified against your original source and trusted references before you rely on it.

You acknowledge that you are solely responsible for how you use Generated Content, and Mindley is not liable for any errors, omissions, or consequences arising from reliance on AI output, including academic results.

Certain features require a paid Subscription. Prices and plan features are displayed at the point of purchase and may be updated with prior notice. By subscribing, you authorize us and our payment processor to charge the applicable fees to your chosen payment method.

Subscriptions renew automatically at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You can cancel at any time from your account settings; cancellation stops future charges but does not retroactively refund the current period except as described in our Refund Policy.

We may apply reasonable safeguards to protect reliable access for all students and prevent misuse of the Service. We reserve the right to delay, throttle, or restrict activity that risks the stability or security of the platform.

You may stop using the Service and delete your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, misuse the Service, create risk or legal exposure for us, or if required by law.

Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.

The Service relies on third-party providers for AI processing, authentication, payment, storage, and analytics. Your use of the Service may therefore be subject to those providers’ terms. We are not responsible for the availability, accuracy, or practices of third-party services, and their inclusion does not imply endorsement.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Service will be error-free, secure, or continuously available.

To the maximum extent permitted by law, Mindley and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or academic outcomes, arising from or related to your use of the Service.

To the extent liability cannot be excluded, our total aggregate liability for any claim relating to the Service is limited to the amount you paid to Mindley in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Mindley, its owners, and its team from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating any formal proceedings, you agree to first contact us in good faith so we can attempt to resolve the matter informally.
